    Effective September 01, 2018

    This Partner Membership Agreement (“Agreement”) is part of and incorporates by reference the User Agreement and the other Terms of Service. You will be provided advance notice of any material change to this Agreement and your continued participation in a membership program after the last modified date will signify your acceptance of this Agreement. Capitalized terms not defined in this Agreement are defined in the Site Terms of Use, User Agreement, or elsewhere in the Terms and Conditions.

    1.PARTNER ONLINE MEMBERSHIP PROGRAMS

    Pro-J offers special membership programs for Partners and Agencies. For purposes of this
    Agreement, “Member” or “you” means a Partner or Agency participating in a membership program.
    Our membership program gives you unlimited number of “submits,” which gives you the right to propose for Clients' posted Projects, Contracts, Jobs, or Others, by us or Partners. Every Member have the right to bid for these projects, contracts, jobs, or Others at any time, the best bidder wins forthat particular project or contract.
    Payment arrangement of awin projector contractis between the contractor and the bidder. We advise that both parties should choose the best method suitable for all.You can choose CASH on delivery, Mobile Money or Bank Transfer before or after completion of the job. Under no circumstances should a member hold Pro-J responsible for a failure of a payment by a party.
    A partner member also have the privilege to interact with users of our sites after submitting listing for a job, etc.

    2. PARTNER OFFLINE MEMBERSHIP PROGRAMS

    A member partner also has the choice to hire Pro-J Media Production at the office to create and maintain an account on his/her behalf. Conditions Before:

    • Take a form at the office and fill in all the required information. A Ghc 25.00 charge apply.
    • For Pro-J to know whether you are a legitimate individual, professional, experts, or a company, we will charge you for a transportation fee to come to your place of work to verify whether what you say about youself or company is true. Charges depends on distance.
    • A partner also has the option to hire Pro-J to promote or connect his/her company to other partners or networks online. Charges depends on the type of market.

    If Pro-J get a job for a partner offline, then, Pro-J will charge 15% on the winning contract after payment.

    3. PERSONAL INFORMATION AND VERIFICATION

    We take our partners information and security very seriously, therefore, it’s Pro-J policy to screen all our Partners to make sure they are legitimate individual or company, or institutions they claimed. Please provide us with any certificates qualifying you as an institution, company, or a professional in your line of work within a month of registration. We also required that you display your picture at the profile side of your account. Don't forget to verify your account with us within 7 days of registration. Failure to provide us with these information’s within the specified period may force us to stop displaying of your listing and delete your account after one month.

    4. MEMBERSHIP FEE AND OTHER CHARGES

    Pro-J does not charge for a membership fee (It's absolutely FREE). We only charge 10% connection fee on the price of a win project or contract. Note: The beneficiary pays for the contract or project after receiving payment.There are other charges like, boosting your projects forward ahead of others, etc. We reserve the right to charge fees, change the number of Submits included in each membership program, or change the price for additional submits or institute new fees at anytime. In each case upon reasonable notice posted in advance on the Site. No refunds of fees already paid will be given. Pro-J exercises its right to cancel a membership if a Partner violate our policy, terms and conditions, and will not refund any fee already paid.

     

    5. TAXES

    Where applicable, Pro-J may also collect Taxes (such as value added tax (VAT) on fees, as set forth in the User Agreement.

     

    6. VIOLATION OF PRO-J TERMS OF USE

    You agreed as a Pro-J Partner not to violate any laws or our Prohibited content Policy as enshrine in our terms of use.

     

    SUBCONTRACT AGREEMENT FOR WORK GIVEN TO A PARTNER BY PRO-J MEDIA PRODUCTION

    This subcontract agreement is made between ……………………PARTNER ………………………………………..

    “subcontractor” and …………………PRO-J MEDIA PRODUCTION …………………………………………………….. “General contractor ( Pro-J for short)”.

    The agreement covers work to be done and sets expectations regarding that work. Violations of these agreement may lead to legal consequences.

    SCOPE OF WORK. Subcontractor agrees to finish all labour, materials, tools, equipment’s and services necessary for performance of the work as it will be agreed upon by both party.

    This agreement guarantees the subcontractor a payment of GH…………AS AGREED UPON ……………. For the work to be done. In cases of additional labour, the subcontractor will be granted additional pay and will have the right to negotiate the amount. The total amount due will be paid upon completion of the work, with a deposit of GH…DEPENDS ON AGREEMENT .. in place before the work begun.

    The work to be performed by subcontractor is limited in nature. It covers exactly and precisely the description of the job. The method, by which these duties are performed, in so far as the methods are safe and legal, will be at the discretion of the subcontractor.

    It is understood that the work will be started on …DATE SET BY BOTH PARTIES…… and will be completed within ……DATE SET BY BOTH PARTIES ……. If unforeseen circumstances prevent the safe and effective completion of the work, extensions will be discussed but are not guaranteed. If delays are not remedied within 30days, the General contractor will have the right to withhold payment, unless the delays are caused by forces within the control of the General contractor.

    The work performed will be of a certain standard in order to be considered acceptable. These standards are explicitly outlined in the description of the project provided to the subcontractor. Failure to meet these requirements will result in forfeiture of amount by the subcontractor.

    If legal disputes arise, the case must be arbitrated by an independent entity qualified for this position. The fees for arbitration will be paid by the party deemed in the wrong, and all charges will be voluntarily submitted once arbitration is complete.

    By accepting this agreement, both the subcontractor and the General contractor are agreeing to all terms above.

    Using Pro-J Services. You will post in the appropriate category or area and will not do any of the following bad things:

    • distribute viruses or any other technologies that may harm Pro-J or the interests or property of Pro-J users;

    • copy, modify, or distribute any other person’s content;
    • use any robot, spider, scraper or other automated means to access Pro-J and collect content for any purpose without our express written permission;
    • harvest or otherwise collect information about others, including email addresses, without their consent;
    • bypass measures used to prevent or restrict access to Pro-J.

    Abusing Pro-J Services. Please use the flagging system to tell us about any problems or offensive content so that together we can keep the Services site working properly. We may limit or terminate our Services, remove hosted content and take technical and legal steps to keep users off Pro-J if we think that they are creating problems or acting inconsistently with the letter or spirit of our policies. When you choose to post your ad to another site, you may be responsible for ensuring that it does not violate our other site policies. We may remove your ad if it is flagged on any of our sites, or if we believe it causes problems or violates any law or policy.

    Fees and Services. Using Pro-J Services is generally free. We may charge fees for certain Services. If the service you use charges a fee, you will be able to review and accept that charge. Our fees are quoted in Ghana Cedis, and we may change them from time to time. We will notify you of changes to our fee policy by posting such changes on the site. We may choose to temporarily change our fees for promotional events or new services; these changes are effective when we announce the promotional event or new service. Our fees are non-refundable, and you are responsible for paying them when they’re due. If you don’t, we may limit your ability to use the Services. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms (for accounts over 180 days past due, you permit us to instruct your Credit Card provider or Mobile Money Provider to deduct the amount owed from your account balance).

     

    Offline Job Seekers

    Anyone who want to use Pro-J services offline including Job Seekers have to go to the office for assistance. For Job Seekers Pro-J will charge for its services offline as written below:

    1. The job seeker has to hire Pro-J to provide him/her with these services by picking a form at the office. There is a Ghc 25.00 charge for this.
    2. A Job seeker has the option to hire Pro-J to promote or connect his/her profile on Pro-J sites, partners or other networks online. Charges depends on the type of marketing.

    Ghanaian taxes associated with our Services will be collected when applicable.  You agree to provide accurate address information necessary for Pro-J to comply with its obligations under applicable law.  To the extent that such information is not provided, Pro-J will in its discretion determine and collect appropriate taxes.

    You are solely responsible to collect and remit any applicable taxes resulting from the sale of your items or services listed on Pro-J.

    Content. Pro-J Services contains stuff from us, you, and other users. You agree not to copy, modify, or distribute Pro-J Services, our copyrights or trademarks. When you give us content, you are granting us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights to that content. If you believe that your rights have been violated, please notify Pro-J Customer Support and we will investigate the matter. We reserve the right to remove content where we have grounds for suspecting the violation of these terms or the rights of any other party.

    Reporting Intellectual Property Infringements (Verified Rights Owners – VeRO). Do not post content that infringes the rights of third parties. This includes, but is not limited to, content that infringes on intellectual property rights such as copyright and trademark (e.g. offering counterfeit items for sale). We reserve the right to remove content where we have grounds for suspecting the violation of these terms, our policies or of any party’s rights. The following steps are for reporting a listing to Pro-J that you believe to be infringing on your intellectual property rights. Only the intellectual property rights owner can report of potentially infringing items or listings through Pro-J’s Program. If you have a good faith belief that a listing on any of the Pro-J Services infringes your copyright, trademark, or other intellectual property rights, all you need to do is download our Notice of Claimed Infringement (NOCI) form, fill it out, and  email it to Pro-J. After we receive your first NOCI, Pro-J will confirm your enrollment in our program and send you the instructions on how to submit future reports electronically. We reserve the right to share, in accordance with applicable law, the completed NOCI form with the third party that originally posted the potentially infringing listing.

    Disclaimers and Limitations of Liability. The Pro-J Services are provided “as is” and “as available”. You agree not to hold us responsible for things other users post or do. As most of the stuff on the Pro-J Services comes from other users, we do not guarantee the accuracy of postings or user communications or the quality, safety, or legality of what is offered. We also cannot guarantee continuous or secure access to our Services. Notification functionality in our Services may not occur in real time. Such functionality is subject to delays beyond our control, including without limitation, delays or latency due to your physical location or your wireless data service provider’s network. Accordingly, to the extent legally permitted we expressly disclaim all warranties, representations and conditions, express or implied, including those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose and those arising by statute. We are not liable for any loss, whether of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of Pro-J, even if you advise us or we could reasonably foresee the possibility of any such damage occurring.     Despite the previous paragraph, if we are found to be liable, our liability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to the greater of (a) the total fees you pay to us in the 12 months prior to the action giving rise to liability, and (b) 100 Ghanaian Cedis.

    Indemnification. You will indemnify and hold harmless Pro-J and its affiliates and our and their respective officers, directors, agents and employees (each an “Indemnified Party”), from any claim made by any third party, together with any amounts payable to the third party whether in settlement or as may otherwise be awarded, and reasonable legal costs incurred by any of the Indemnified Parties, arising from or relating to your use of the Pro-J Services, any alleged violation by you of the applicable terms, and any alleged violation by you of any applicable law or regulation. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, but doing so will not excuse your indemnity obligations.

    Personal Information. By using Pro-J Services, you agree to the collection, transfer, storage and use of your personal information by Pro-J Media Production (the “data controller”) on servers located in the Ghana as further described in our privacy policy.

    General. These terms and the other policies posted on Pro-J Services constitute the entire agreement between us and you, superseding any prior agreements. This agreement is governed by the laws of the Ghana. We both submit to the jurisdiction of the courts of the Ghana. This will not affect your statutory rights if you are a consumer and applicable consumer law requires application of another law for certain topics. If we don’t enforce any particular provision, we are not waiving our right to do so later. If a court strikes down any of these terms, the remaining terms will survive. We may automatically assign this agreement in our sole discretion in accordance with the notice provision below (our assignment to an affiliate will not require notice).     We will send notices to you via the email address you provide, or by registered mail. Notices sent by registered mail will be deemed received five days following the date of mailing. We may update this agreement at any time, with updates taking effect when you next use the site or after 30 days, whichever is sooner.     Mobile Devices Terms

    If you’re accessing Pro-J Services from a mobile device using a Pro-J Mobile Application (the “Application”), the following terms and conditions (“Terms of Use”) apply to you in addition to the applicable Mobile Privacy and Legal Notice or End User License Agreement, as the case may be. Your use of the Application confirms your agreement to these Terms of Use.

    Application Use. Pro-J grants you the right to use the Application only for your personal use. You must comply with all applicable laws and third party terms of agreement when using the Application (e.g. your wireless data service agreement). The Application may not contain the same functionality available on the www.projmediagh.com website. Your download and use of the Application is at your own discretion and risk, and you are solely responsible for any damages to your hardware device(s) or loss of data that results from the download or use of the Application.

    Intellectual Property – Applications. Pro-J owns, or is the licensee to, all right, title, and interest in and to its Applications, including all rights under patent, copyright, trade secret, trademark, and any and all other proprietary rights, including all applications, renewals, extensions, and restorations thereof. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse-engineer, disassemble, or otherwise attempt to derive source code from any Application and you will not remove, obscure, or alter Pro-J’s copyright notice, trademarks or other proprietary rights notices affixed to, contained within, or accessed in conjunction with or by any Pro-J Application.

    Prohibited Countries Policy and Foreign Trade Regulation – Applications. Pro-J Applications or their underlying technology may not be downloaded to or exported or re-exported: (a) into (or to a resident or national of) Burma (Myanmar), Cuba, Iraq, Iran, Libya, North Korea, Sudan, Syria, or any other country subject to Ghana embargo; (b) to anyone on the Ghana Commerce Department’s Denied Party or Entity List; and (c) to any prohibited country, person, end-user, or entity specified by Ghana Export Laws. When using a Pro-J Application, you are responsible for complying with trade regulations and both foreign and domestic laws (e.g., you are not located in a country that is subject to a Ghana Government embargo, or that has been designated by the Ghana Government as a “terrorist supporting” country, and you are not listed on any Ghana Government list of prohibited or restricted parties)

    Global Marketplace. Some of Pro-J’s features may display your ad on other sites that are part of the global community, like on google+, facebook, or our classifieds sites in other countries. By using Pro-J Services, you agree that your ads can be displayed on these other sites. The terms for our other sites are similar to these terms, but you may be subject to additional laws or other restrictions in the countries where your ad is posted. When you choose to post your ad to another site, you may be responsible for ensuring that it does not violate our other site policies. We may remove your ad if it is flagged on any of our sites, or if we believe it causes problems or violates any law or policy.

    Fees and Services. Using Pro-J Services is generally free. We may charge fees for certain Services. If the service you use charges a fee, you will be able to review and accept that charge. Our fees are quoted in Ghana Cedis, and we may change them from time to time. We will notify you of changes to our fee policy by posting such changes on the site. We may choose to temporarily change our fees for promotional events or new services; these changes are effective when we announce the promotional event or new service. Our fees are non-refundable, and you are responsible for paying them when they’re due. If you don’t, we may limit your ability to use the Services. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms (for accounts over 180 days past due, you permit us to instruct your Credit Card provider or Mobile Money Provider to deduct the amount owed from your account balance).

     

    Offline Job Seekers

    Anyone who want to use Pro-J services offline including Job Seekers have to go to the office for assistance. For Job Seekers Pro-J will charge for its services offline as written below:

    1. The job seeker has to hire Pro-J to provide him/her with these services by picking a form at the office. There is a Ghc 25.00 charge for this.
    2. A Job seeker has the option to hire Pro-J to promote or connect his/her profile on Pro-J sites, partners or other networks online. Charges depends on the type of marketing.

    Ghanaian taxes associated with our Services will be collected when applicable.  You agree to provide accurate address information necessary for Pro-J to comply with its obligations under applicable law.  To the extent that such information is not provided, Pro-J will in its discretion determine and collect appropriate taxes.

    You are solely responsible to collect and remit any applicable taxes resulting from the sale of your items or services listed on Pro-J.

    Content. Pro-J Services contains stuff from us, you, and other users. You agree not to copy, modify, or distribute Pro-J Services, our copyrights or trademarks. When you give us content, you are granting us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights to that content. If you believe that your rights have been violated, please notify Pro-J Customer Support and we will investigate the matter. We reserve the right to remove content where we have grounds for suspecting the violation of these terms or the rights of any other party.

    Reporting Intellectual Property Infringements (Verified Rights Owners – VeRO). Do not post content that infringes the rights of third parties. This includes, but is not limited to, content that infringes on intellectual property rights such as copyright and trademark (e.g. offering counterfeit items for sale). We reserve the right to remove content where we have grounds for suspecting the violation of these terms, our policies or of any party’s rights. The following steps are for reporting a listing to Pro-J that you believe to be infringing on your intellectual property rights. Only the intellectual property rights owner can report of potentially infringing items or listings through Pro-J’s Program. If you have a good faith belief that a listing on any of the Pro-J Services infringes your copyright, trademark, or other intellectual property rights, all you need to do is download our Notice of Claimed Infringement (NOCI) form, fill it out, and  email it to Pro-J. After we receive your first NOCI, Pro-J will confirm your enrollment in our program and send you the instructions on how to submit future reports electronically. We reserve the right to share, in accordance with applicable law, the completed NOCI form with the third party that originally posted the potentially infringing listing.

    Disclaimers and Limitations of Liability. The Pro-J Services are provided “as is” and “as available”. You agree not to hold us responsible for things other users post or do. As most of the stuff on the Pro-J Services comes from other users, we do not guarantee the accuracy of postings or user communications or the quality, safety, or legality of what is offered. We also cannot guarantee continuous or secure access to our Services. Notification functionality in our Services may not occur in real time. Such functionality is subject to delays beyond our control, including without limitation, delays or latency due to your physical location or your wireless data service provider’s network. Accordingly, to the extent legally permitted we expressly disclaim all warranties, representations and conditions, express or implied, including those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose and those arising by statute. We are not liable for any loss, whether of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of Pro-J, even if you advise us or we could reasonably foresee the possibility of any such damage occurring. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.

    Despite the previous paragraph, if we are found to be liable, our liability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to the greater of (a) the total fees you pay to us in the 12 months prior to the action giving rise to liability, and (b) 100 Ghanaian Cedis.

    Indemnification. You will indemnify and hold harmless Pro-J and its affiliates and our and their respective officers, directors, agents and employees (each an “Indemnified Party”), from any claim made by any third party, together with any amounts payable to the third party whether in settlement or as may otherwise be awarded, and reasonable legal costs incurred by any of the Indemnified Parties, arising from or relating to your use of the Pro-J Services, any alleged violation by you of the applicable terms, and any alleged violation by you of any applicable law or regulation. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, but doing so will not excuse your indemnity obligations.

    Personal Information. By using Pro-J Services, you agree to the collection, transfer, storage and use of your personal information by Pro-J Media Production (the “data controller”) on servers located in the Ghana as further described in our privacy policy.

    General. These terms and the other policies posted on Pro-J Services constitute the entire agreement between us and you, superseding any prior agreements. This agreement is governed by the laws of the Ghana. We both submit to the jurisdiction of the courts of the Ghana. This will not affect your statutory rights if you are a consumer and applicable consumer law requires application of another law for certain topics. If we don’t enforce any particular provision, we are not waiving our right to do so later. If a court strikes down any of these terms, the remaining terms will survive. We may automatically assign this agreement in our sole discretion in accordance with the notice provision below (our assignment to an affiliate will not require notice).     We will send notices to you via the email address you provide, or by registered mail. Notices sent by registered mail will be deemed received five days following the date of mailing. We may update this agreement at any time, with updates taking effect when you next use the site or after 30 days, whichever is sooner.     Mobile Devices Terms

    If you’re accessing Pro-J Services from a mobile device using a Pro-J Mobile Application (the “Application”), the following terms and conditions (“Terms of Use”) apply to you in addition to the applicable Mobile Privacy and Legal Notice or End User License Agreement, as the case may be. Your use of the Application confirms your agreement to these Terms of Use.

    Application Use. Pro-J grants you the right to use the Application only for your personal use. You must comply with all applicable laws and third party terms of agreement when using the Application (e.g. your wireless data service agreement). The Application may not contain the same functionality available on the www.projmediagh.com website. Your download and use of the Application is at your own discretion and risk, and you are solely responsible for any damages to your hardware device(s) or loss of data that results from the download or use of the Application.

    Intellectual Property – Applications. Pro-J owns, or is the licensee to, all right, title, and interest in and to its Applications, including all rights under patent, copyright, trade secret, trademark, and any and all other proprietary rights, including all applications, renewals, extensions, and restorations thereof. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse-engineer, disassemble, or otherwise attempt to derive source code from any Application and you will not remove, obscure, or alter Pro-J’s copyright notice, trademarks or other proprietary rights notices affixed to, contained within, or accessed in conjunction with or by any Pro-J Application.

    Prohibited Countries Policy and Foreign Trade Regulation – Applications. Pro-J Applications or their underlying technology may not be downloaded to or exported or re-exported: (a) into (or to a resident or national of) Burma (Myanmar), Cuba, Iraq, Iran, Libya, North Korea, Sudan, Syria, or any other country subject to Ghana embargo; (b) to anyone on the Ghana Commerce Department’s Denied Party or Entity List; and (c) to any prohibited country, person, end-user, or entity specified by Ghana Export Laws. When using a Pro-J Application, you are responsible for complying with trade regulations and both foreign and domestic laws (e.g., you are not located in a country that is subject to a Ghana Government embargo, or that has been designated by the Ghana Government as a “terrorist supporting” country, and you are not listed on any Ghana Government list of prohibited or restricted parties)
